Atkinson Electronics, Inc. sells its products under the following terms and conditions.  Any additional or different terms must be specifically agreed to, in writing, prior to any sale.  Terms are subject to change and current terms in effect at the time of sale will apply.

PLEASE READ THIS INFORMATION CAREFULLY

To place an order, contact Atkinson Electronics, Inc. and ask for a Customer Service Engineer in the Circuit Board Division.  The minimum order amount for non-account customers is One Hundred Dollars ($100.00) list price.  Any order less than $50.00 list price will receive no discount.

All telephone orders should be confirmed in writing prior to shipment with a mailed or faxed written confirming order including your contact at Atkinson Electronics.  Mark your confirming document "CONFIRMING ORDER, DO NOT DUPLICATE".  This procedure is necessary to make sure that our products meet your requirements.   Top

Send your order to the attention of "Circuit Board Division Order Entry." Please include the following on your order:

- Purchase Order Number

- Bill and Ship To Addresses

- Quantity, Part Number, Description of Parts Ordered and Calibration Specifications (if any)

- Specify method of Shipment, FEDEX EC. (2 day), FEDEX STD. (Next afternoon), FEDEX PR. (Next morning), UPS, etc.

- Requested Ship Date and/or Required Delivery Date

- Buyers Name, Telephone and Fax Number

Upon receipt we will fax to you a confirmation of your order, pricing and estimated ship date and an assigned Sales Order Number.  Please refer to this number in all further communications regarding this order.   Top

International shipments are subject to additional handling, export documentation and shipping charges, as well as any appropriate duties, taxes or fees.  If you deal with a Customs Broker, please provide us with the broker's name, address, telephone number, and a copy of their import documents so we may process your order quickly.  Terms for payment are prepaid in US dollars by Electronic Funds Transfer to our bank or a bank check in US dollars.   Top

We encourage blanket purchase orders with scheduled releases.  We request each release be shipped to a single destination and releases be confirmed 90 days in advance of scheduled delivery.  If delivery is not taken on the quantities ordered, the Customer will be invoiced for the difference in price between the quantities ordered and the quantities accepted, if any, based on the discount schedule in effect on the date that the original order was placed.   Top

Promises of delivery from stock are subject to prior sale.  Delivery dates are not guaranteed, but are estimated on the basis of our immediate receipt of all needed information supplied by the Customer.  We will, in good faith, attempt to meet estimated delivery dates, but we do not accept responsibility for delays resulting from circumstances beyond our reasonable control.  Atkinson Electronics, Inc. is relieved of all risks of loss or damage of goods upon our delivery of goods to the carrier.   Top

Normal delivery runs 5 days to 10 days.  If an order requires expediting, please discuss your needs with Customer Service, as we will do our best to meet your requirements at minimal additional costs.  There is a minimum expedite charge of $25.00 or 10% of total order, whichever is greater, (plus shipping cost) for orders expedited from factory stock.  Expedite charges may vary based upon your requirements.  In order to keep expedite charges at a minimum, give us as much information and advance warning as possible.  We may have to adjust another customer's order, reschedule production or use other outside services to meet your expediting needs.   Top

We ship by FEDEX Economy (2 day) whenever possible unless another qualified carrier is requested.  FEDEX Standard (Next afternoon), FEDEX Priority (Next morning), or other arrangements are optional.  All shipments are F.O.B. Salt Lake City, Utah and shipping and handling charges are at prevailing rates.  Orders received after 1:00 P.M. (Salt Lake City) will be processed on the next business day.   Top

In the event that an order cannot be completely filled, the balance of the order will be back ordered and will be shipped as soon as possible.  If you want the entire order shipped at one time, specify "SHIP COMPLETE".   Top

Any discrepancies in shipments must be brought to the attention of our Customer Service Representatives within ten (10) working days of receipt of shipment.  Deductions from remittances will not be allowed unless authorized by Atkinson Electronics, Inc. in writing.   Top

Payment terms are C.O.D. or prepaid unless an open account is established.   Top

We offer terms of Net 30 days to all Customers who have established an open account with Atkinson Electronics, Inc.  To establish an open account, please contact the credit department and complete an application and forward it to Atkinson Electronics, Inc., ATTN: CREDIT MANAGER.  It generally takes two to three days to process your account once the credit application is received.

- The invoice number MUST appear on your check stub to insure proper credit to your account!

- An additional 1.5% per month service charge will be added to any account balance aging over 30 days.

- Accounts with past due balances beyond 60 days will be placed on credit hold.

- It is our policy not to ship to any account that is past due.

In the event that it becomes necessary for Atkinson Electronics, Inc. to take legal action to enforce the provisions of this agreement or to obtain redress for the breach of any provision hereof, the buyer shall pay the costs of such action, including reasonable attorney fees.  All legal proceedings that are in anyway related to this agreement shall be conducted in a court of competent jurisdiction in Salt Lake County, Utah.   Top

The price of goods sold are those in effect at the time of sale.  All prices are subject to change without notice and exclude any taxes, shipping and handling charges.  Please contact Customer Service for current pricing.  We will be pleased to furnish written quotations either by mail or facsimile upon request.  Quoted prices and conditions are valid for 30 days from the date of the written confirmation of the quote, unless otherwise specified.   Top

Resale discounts will be extended to account-holding customers who are involved in the manufacture or resale of electronic control products.  Quantity discounts apply to each specific item or product part number.  Product part numbers with separate input or output specifications count as separate items for quantity pricing unless specifically noted in a price quote.  The discount structure is as follows:

- Quantity of 1 to 4 pieces 25% off the list price

- Quantity of 5 to 9 pieces 27.5% off the list price

- Quantity of 10 to 24 pieces 30% off the list price

- Quantity of 25 to 49 pieces 32.5% off the list price

- For Quantities of 50 or more call for a price quote

Discounts will be extended to Industrial, Commercial, and Institutional account-holding customers who are involved in installation or maintenance of their own electronic control systems.  Quantity discounts apply to each specific item or product part number.  Product part numbers with separate input or output specifications count as separate items for quantity pricing unless specifically noted in a price quote.  The discount structure is as follows:

- Quantity of 1 to 4 pieces list

- Quantity of 5 to 9 pieces 5% off the list price

- Quantity of 10 to 24 pieces 10% off the list price

- Quantity of 25 to 49 pieces 15% off the list price

- For Quantities of 50 or more call for a price quote

All applicable and required taxes, duties and governmental fees are additional charges which will be added to the selling price.  Utah customers must furnish an appropriate resale exemption certificate or sales tax will be added to the invoice prior to shipment.   Top

YOU MUST call customer service for an RMA # before returning any product to the factory.  Shipments to the factory not covered by a valid RMA number are subject to refusal of delivery.  The RMA number should be marked on the outside of the return package as "ATTN: Customer Service, RMA # ".  To avoid delays, please include the following information inside the package:

- Returned Merchandise Authorization (RMA) Number

- Customer Order Number and Invoice Number

- Returnee's name, address and telephone number

- Product model number and date purchased

- Reason for return

- Additional/repair instructions

Preship Warranty Replacements (PWR) are made only if we are supplied with the sales order number or invoice number of the original device.  Atkinson Electronics, Inc. will pay FEDEX Economy charges on the Preship Warranty Replacement.  If the defective units are not covered by our warranty, or if the defect is due to miss-use or improper installation, the customer will be billed for both the Preship Warranty Replacement at 75% of list price and the freight.

All returns must be shipped prepaid to the factory.

Customers will be billed for any Preship Warranty Replacements if the defective units are not returned to the factory within 30 days.   Top

Only new and unused products may be returned for credit.  Atkinson Electronics, Inc. inspects, retests and repackages ALL products returned for credit.  All returns for credit are subject to a retest and restock charge (25% of purchase price but no less than $25.00).  Products that are customized for specialty applications are not usually resalable items and for this reason credit will not normally be given if these products are returned.  Debit memos will not be accepted without written authorization and an RMA number.  After the return for credit is processed, the proper credit will be issued. No cash refunds will be issued unless requested in writing.   Top

An appropriate charge (25% of Atkinson's published product price list) will be made for testing, repairs, replacement and shipping for returned products which are not defective or found to be defective as the result of improper use, maintenance or neglect.   Top

Atkinson Electronics, Inc. reserves the right to make changes in the design and/or specifications of any product as technological advances or necessity requires.   Top

In many cases, our products can be calibrated to your custom requirements or slight modifications can be made to meet your specifications.  Usually the additional charges and lead times are nominal, if any.  If a custom product is to be returned, please note that products that are customized for specialty applications are usually not resalable items.  For this reason, credit will not normally be given.  Contact your Customer Service Representatives for quotes on your special requirements.   Top

Atkinson Electronics, Inc. gives this express warranty (along with extended warranty endorsements, where applicable) in lieu of all other warranties, express or implied, including (without limitation), warranties of merchantability and fitness for a particular purpose.  This constitutes Atkinson Electronics, Inc.'s sole warranty and obligation with regard to our products as well as the Customer's sole remedy.
Atkinson Electronics, Inc. expressly disclaims all liability and responsibility for any special, indirect or consequential damages or any further loss of any kind whatsoever resulting from the use of our product.  The Customer's sole and exclusive remedy and the limit of Atkinson Electronics, Inc.'s liability for any loss whatsoever, shall not exceed the purchase price paid by the Customer for the product to which a claim is made.

Countries or States that do not allow limitations of incidental or consequential damages or on how long an implied warranty lasts, the above limitations may not apply to you.  This warranty gives you specific legal rights and you may also have other rights which vary from State to State or Country to Country.

All products manufactured by Atkinson Electronics, Inc. are warranted to be free from defects in material and workmanship in accordance with and subject to the following terms and conditions:

1. This warranty is limited to the original customer only.  It cannot be transferred or assigned to third parties unless the intent to transfer to a third party is expressly indicated in a purchase order and/or warranty processing arrangements have been agreed upon in writing by Atkinson Electronics, Inc.

2. Atkinson Electronics, Inc. will correct any defects in material or workmanship which appear within one (1) year from the date of shipment by Atkinson Electronics, Inc. (or its authorized distributors) to the original Customer.  Atkinson Electronics, Inc. will repair or replace, at our option, any defective products, provided that our inspection discloses that such defects developed under normal and proper use.  This warranty does not extend to goods subjected to misuse, neglect, accident or improper installation, or to maintenance or repair of products which have been altered or repaired by anyone except Atkinson Electronics, Inc., unless otherwise stated in writing.

3. An appropriate charge (25% of product list price) will be made for testing, repairs, replacement and shipping for a returned product which is not defective or found to be defective as the result of improper use, maintenance or neglect.

4. Atkinson Electronics, Inc. will not accept responsibility for any invoiced goods or services that are not covered by an Atkinson Electronics, Inc. written purchase order.  Under no circumstances does Atkinson Electronics, Inc. agree to pay for labor or other related expenses associated with the troubleshooting and/or repair of our product without prior specific written authorization.

5. Information in our descriptive literature is based on product specifications that are current at the time of publication.  Product specifications, design and descriptive literature are subject to change as improvements are introduced.  Although we announce changes as they occur, we cannot guarantee notification to every Customer.  Atkinson Electronics, Inc. warrants delivered products to conform to the most current specifications, design and descriptive literature.

This warranty policy may be expanded or limited, for particular categories of products or Customers, by information sheets published as deemed appropriate by Atkinson Electronics, Inc.   Top
